1. Introduction

Welcome to AIR MUSIC PH. These Terms of Service ("Terms") govern your use of the AIR MUSIC PH website, mobile applications, and services (collectively, the "Services") operated by AIR MUSIC PH ("we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

2. Definitions

"Content" refers to music, lyrics, compositions, recordings, artwork, videos, text, graphics, images, and other materials that may be available through the Services.

"User" refers to individuals who access or use the Services, including artists, songwriters, industry professionals, and supporters.

"User Content" refers to Content that users submit, upload, or otherwise make available through the Services.

3. Account Registration

To access certain features of the Services, you may be required to register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with these Terms.

4. User Types and Services

AIR MUSIC PH offers different services based on user types:

• Artists: Services may include music distribution, promotion, artist development, and royalty collection.
• Songwriters: Services may include publishing administration, royalty collection, and licensing opportunities.
• Industry Professionals: Services may include artist discovery, networking, and industry resources.
• Supporters/Fans: Services may include music discovery, artist support, and exclusive content access.

Specific services available to each user type may change over time and may be subject to additional terms or fees.

5. Intellectual Property Rights

Our Content: The Services and their original content (excluding User Content), features, and functionality are owned by AIR MUSIC PH and are protected by copyright, trademark, and other intellectual property laws.

User Content: You retain all rights to your User Content. By submitting User Content to the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for the purpose of providing and promoting the Services.

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not infringe upon the intellectual property rights of any third party.

6. Music Rights and Royalties

AIR MUSIC PH respects the intellectual property rights of artists, songwriters, and rights holders. We are committed to ensuring proper attribution and compensation for the use of music through our platform.

For artists and songwriters who use our publishing and distribution services, specific terms regarding royalties, revenue splits, and payment schedules will be provided in separate agreements.

7. Prohibited Activities

You agree not to:

• Use the Services in any way that violates any applicable laws or regulations.
• Upload or transmit any Content that infringes upon the intellectual property rights of others.
• Upload or transmit any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Services or servers or networks connected to the Services.
• Attempt to gain unauthorized access to any portion of the Services or any other systems or networks.

8. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

9. Limitation of Liability

In no event shall AIR MUSIC PH, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services.
• Any conduct or content of any third party on the Services.
• Any content obtained from the Services.
• Unauthorized access, use, or alteration of your transmissions or content.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
